Biography

Gregory S. Charney has over 30 years of experience working in and with the following fields: Oil & Gas development & production, heavy equipment & machinery, civil construction, pipeline services and other related businesses.

Mr. Charney is a graduate of Henderson State University where his undergraduate degree was accounting and also holds a Master of Business Administration Degree from University of Arkansas.

He has served in the capacity of Vice President for two global pipeline service companies, Regional Sales Manager for a global equipment company, President of an underground construction company & CFO of a regional pipeline construction company.

All of this real-life experience has taught Mr. Charney how to successfully evaluate businesses, to be a hands-on M&A facilitator and how to be a competent appraiser of personal property, equipment, and machinery. Over the years he has been deeply involved in the management, start up, purchase, and sale of several successful businesses.

After many years of working in a variety of businesses, Mr. Charney chose to get involved in mergers & acquisition’s and purchased Lone Star Investments Corp. which was started in 1978. The Company has a 30+ year history of providing quality appraisals of machinery and equipment, as well as valuations of businesses. Within a year of ownership, Mr. Charney used Lone Star as a platform and entered the Merger Acquisition space and to date has successfully sold or been involved in the sale of multiple businesses, mostly in the midstream space ranging in sales value from $3.8MM up to $85MM. Transactions were completed in both USA and Canada, typical businesses were Contractors, Manufacturers, Rental & Supply Companies.

What We Do at Lone Star Investment Corp

We have been providing sell & buy-side advisory to small and middle market companies with typical deal size ranges from $10MM-$100MM for 20 years. Our 10 point process:

  • Assess the current state of the business (is it ready to sell or are there steps that need to be taken.
  • Assess the expected value in the current market and discuss with Owners to see if that aligns with expectations.
  • Understand Owner expectations and define most acceptable/probable deal structure.
  • Set up data room with items such as tax returns, financials, corporate documents, insurance/safety files, customer information, management information, market forecasts, product/service offerings, inventory/asset information, miscellaneous information. Access is allowed as needed in a secure manner.
  • Build a marketing book.
  • Run a semi blind/anonymous process to attract capable Buyers and assess interest. Issue non-disclosure agreements, inform interested parties, request letter of intents, discuss with Sellers and decide whom best fits that will accomplish the deal structure desired.
  • Make available to Sellers and experts to help with transaction i.e.; Attorneys, CPA, Appraisers, Wealth Planners, Realtors etc.
  • Negotiate an acceptable definitive share purchase agreement.
  • Work to achieve a smooth transaction and closing.
  • Remain accessible to Buyers/Sellers post transaction.
